Terms of Service

Welcome to Krib! These Terms of Service ("Terms") govern your use of the Krib application and website (the "Service") operated by Krib ("we," "us," or "our"). By accessing or using Krib, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Krib, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2. Description of Service

Krib is a property management and field service management platform. The Service includes features for both homeowners and contractors:

For Homeowners

• Creating and managing home inventory records
• Scheduling and tracking maintenance tasks
• Generating property reports ("Property Pedigree")
• AI-assisted receipt and label scanning
• Receiving quotes and communicating with contractors
• Viewing environmental and property data
• Storing photos and documents related to your property

For Contractors

• Creating and sending quotes, invoices, and estimates
• Job scheduling, dispatch, and team management
• Customer relationship management
• Processing payments via integrated payment providers
• Embeddable booking widgets for contractor websites
• Photo evaluations and AI-assisted receipt scanning
• Communicating with customers via in-app messaging
• Managing technician portals and timesheets

3. User Accounts

To use Krib, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Data and Content

You own your personal data. Krib does not claim ownership of the specific, identifiable property records, photos, or other content you create or upload. You grant us a worldwide, royalty-free, perpetual, and irrevocable license to store, process, display, and use your content to provide the Service to you.

Aggregated Data License: In addition, you grant Krib a perpetual, irrevocable, worldwide, royalty-free license to aggregate, anonymize, and commercialize the information you provide (such as property system ages, maintenance histories, and appliance records) to create industry insights and property history reports for third parties. This aggregated data will not contain your direct personal identifying information (such as your name or exact street address) without your explicit consent. See our Privacy Policy for more details and your rights under state privacy laws.

You are responsible for ensuring that any content you upload does not violate the rights of others or any applicable laws.

Data Processing Agreement (DPA): If you are a business user subject to the GDPR or UK GDPR, our processing of personal data on your behalf is governed by our Data Processing Agreement. You may request our standard DPA by contacting us at legal@mykrib.app.

5. Payments and Fees

Krib's core features have no monthly subscription fee. However, certain fees apply to payment processing and other services:

Payment Processing Fees

If you choose to collect payments through Krib, total fees are approximately 3% per transaction: Stripe charges its standard rate of 2.9% + $0.30 per transaction, and Krib adds a 0.1% platform fee. The Krib platform fee applies to Checkout Sessions and Subscriptions processed through Krib. Payment Links created through Krib do not include the Krib platform fee due to payment processor limitations. You may pass fees to your customers at any amount you choose. Payments are optional — all core features (quotes, scheduling, invoicing, customer management) are available without processing payments.

Payment Processing

• Contractors who accept payments through Krib must create and maintain a Stripe Connect account, subject to Stripe's Connected Account Agreement.
• All payment processing fees charged by Stripe (2.9% + $0.30 per transaction) are pass-through costs paid by the contractor, not by Krib.
• Krib is not a party to financial transactions between contractors and homeowners. We facilitate payment processing but do not guarantee payment completion, handle refunds directly, or assume liability for chargebacks.
• Contractors are solely responsible for managing refunds, disputes, and chargebacks through their Stripe dashboard.

Consumer Financing

Krib currently partners with Wisetack, Inc. to offer consumer financing options for home service projects. Wisetack is an independent lending platform and is not owned by or affiliated with Krib. These financing services are subject to Wisetack's own terms, conditions, and credit approval processes.

Data shared with Wisetack: If you choose to apply for financing, Wisetack will collect personal information directly from you, which may include your full name, contact information, date of birth, income details, and Social Security Number. This information is collected and processed by Wisetack in accordance with Wisetack's Privacy Policy. Krib does not receive, store, or have access to your Social Security Number, income details, or other sensitive financial information submitted to Wisetack.

Referral fees: Krib may receive a referral fee or other compensation from Wisetack when a financing application is initiated or completed through the Krib platform.

Credit decisions: All credit and lending decisions are made solely by Wisetack (or its lending partners) and are based on their underwriting criteria. Krib does not influence, guarantee, or have any role in financing approval decisions. Wisetack or its lending partners may perform credit checks (including hard inquiries) as part of the application process, which may affect your credit score. Approved financing will be reported to credit bureaus, and missed payments or defaults may negatively impact your credit history.

Krib may change its financing partner at any time. If a new financing provider is introduced, we will update this section accordingly.

Future Premium Features

Krib may introduce optional premium features or tiers in the future. Any such features will be clearly presented with pricing before you are charged. Existing core features will remain available without a monthly subscription fee.

6. Acceptable Use

You agree NOT to use Krib to:

• Violate any laws or regulations
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any fraudulent or deceptive purpose
• Harass, abuse, or harm other users
• Interfere with or disrupt the Service
• Use the Service to misrepresent your professional credentials, licensing, or insurance status

7. Contractor and Third-Party Features

Krib allows homeowners and contractors to connect, communicate, and transact. You acknowledge that:

• You are responsible for the links you generate and share
• Krib does not verify, endorse, or guarantee any contractor's work, credentials, licensing, or insurance
• Any agreements, transactions, or disputes between homeowners and contractors are solely between those parties
• Krib is a platform facilitator and is not liable for any disputes, damages, or issues arising from interactions between users
• Property Pedigree reports are based on user-submitted records and are not independently verified by Krib

8. AI-Powered Features

Krib uses artificial intelligence (powered by Google Gemini) to provide features such as receipt scanning, label scanning, photo evaluations, and property analysis. Additionally, some informational content on our public website (such as industry articles and software comparisons) may be generated or augmented using AI. You acknowledge that:

• AI-generated content is provided as a convenience and may contain errors, inaccuracies, or outdated information
• You are responsible for reviewing and verifying all AI-generated information before relying on it
• AI analysis of photos, receipts, and property conditions is not a substitute for professional inspection or advice
• Informational articles, software comparisons, and trade-specific guides are for general educational purposes only and do not constitute professional or legal advice
• Krib is not liable for business or personal decisions made based on AI-generated content

9. Intellectual Property

The Krib name, logo, and all related graphics, software, and content (excluding user-generated content) are owned by Krib and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

10. Copyright Infringement (DMCA)

Krib respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on Krib infringes your copyright, please submit a DMCA takedown notice to:

Your notice must include: (1) identification of the copyrighted work, (2) identification of the infringing material and its location on Krib, (3) your contact information, (4) a statement that you have a good faith belief the use is not authorized, and (5) a statement under penalty of perjury that your notice is accurate and you are the copyright owner or authorized to act on their behalf.

11. Disclaimer of Warranties

Krib is provided "as is" and "as available." We make no warranties, express or implied, regarding the Service, including but not limited to:

• The accuracy or reliability of any information, AI-generated content, or recommendations
• Uninterrupted or error-free operation
• Fitness for a particular purpose
• The accuracy of maintenance schedules, reminders, or property data
• The completeness or accuracy of Property Pedigree reports

You acknowledge that home maintenance decisions should be made with professional consultation where appropriate, and Krib is not a substitute for professional advice.

12. Limitation of Liability

To the maximum extent permitted by law, Krib and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data or content
• Property damage resulting from reliance on the Service
• Lost profits or business interruption
• Any damages arising from contractor-homeowner interactions facilitated through Krib
• Payment processing failures, chargebacks, or disputes
• Errors or inaccuracies in AI-generated content

Our total liability for any claims arising from your use of Krib shall not exceed the greater of (a) $50 USD or (b) the total amount of platform fees you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Krib and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@mykrib.app and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Orange County, California, or at a location mutually agreed upon. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Exceptions

Either party may bring claims in small claims court if eligible. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@mykrib.app within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

15. Account Termination

You may delete your account at any time through the Settings page. Upon deletion, your personal data will be removed from our active systems within 30 days, subject to our Privacy Policy data retention schedule. Encrypted backups may persist for up to 90 days after deletion. Data may be retained longer if required by law or for legitimate business purposes (such as fraud prevention or legal compliance).

We reserve the right to suspend or terminate your account if we believe you have violated these Terms, without prior notice.

16. Changes to the Service

We may modify, suspend, or discontinue any part of Krib at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date and, where appropriate, providing additional notice (such as an in-app notification or email). Your continued use of Krib after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Subject to the arbitration provision above, any disputes arising from these Terms or your use of Krib shall be resolved in the courts located in Orange County, California.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
